Terms and Conditions
1. Scope
(1) These Terms and Conditions (T&C) apply to all contracts for the use of Widget Builder between JASP Oldenburg & Henning PartG mbB, Dresdner Landstr. 11, 01744 Dippoldiswalde (hereinafter “Provider”) and the customer (individuals, companies or organizations using Widget Builder, hereinafter “Customer” or “You”).
(2) These T&C apply in particular to:
- Registration and use of the Widget Builder account
- Creation, management and deployment of custom widgets
- Use of all features of the selected pricing category (STARTER, PRO, ENTERPRISE)
- Payment processing and billing
- Support and service offerings
(3) Deviating terms and conditions of the customer will not be accepted unless the Provider explicitly agrees in writing.
2. Subject of the Contract
(1) The Provider provides the Customer with a web-based Software-as-a-Service (SaaS) solution for creating, managing and deploying custom widgets for Staffbase intranets (hereinafter “Service”).
(2) The Service is a cloud-based application hosted and operated by the Provider. Widget Builder is not an installable product and not independent software to be operated on Customer servers.
(3) The Provider reserves the right to update or further develop the Service at any time to ensure security, stability and functionality.
3. Registration and Account
(1) Using Widget Builder requires valid registration. The Customer is responsible for managing their account and login credentials.
(2) The Customer commits to providing accurate and current information during registration. The Customer is solely responsible for all activities occurring under their account.
(3) The Customer may not transfer their account and may not allow others to use their account. The Customer is liable for all activities conducted under their account.
(4) The Provider reserves the right to deactivate accounts that violate these terms or show suspicious activity.
4. Scope of Services by Pricing Category
(1) The scope of services depends on the pricing plan selected by the Customer:
STARTER
- Up to 2 active custom widgets
- 2,000 active users
- Community support
- Basic integrations
- Widget templates
PRO
- Everything from STARTER, plus:
- Unlimited custom widgets
- 5,000 active users
- Email support
- All integrations
ENTERPRISE
- Everything from PRO, plus:
- Unlimited active users
- Priority support + success manager
- Optional self-hosting in your own cloud or on-premises
- Custom requirements as agreed
(2) The features and limits of individual plans may be adjusted by the Provider.
(3) The Provider guarantees general usability of the Service, but not specific features or results.
5. Usage Rights
(1) The Provider grants the Customer a non-exclusive, non-transferable, revocable right to use Widget Builder exclusively for their own intranet use.
(2) The Customer may not:
- Make the Service available to third parties, share it or engage in reselling
- Perform reverse engineering, decompiling or disassembly
- Bypass security systems or access protection measures
- Create illegal or copyright-infringing content
- Misuse the Service to overload resources or disrupt services
- Impair or disrupt other customers or the Service itself
(3) All rights to Widget Builder and the Service remain with the Provider. The Customer acquires no ownership rights to the Service or source code.
(4) The Customer retains all rights to content created in the Service (widgets, configurations, data).
6. Customer Obligations
(1) The Customer commits to using the Service only lawfully and in accordance with these T&C.
(2) The Customer is responsible for:
- Compliance with all data protection regulations, in particular the GDPR
- Securing access credentials and accounts
- Regular backup of created widgets and configurations
- Compliance with Staffbase guidelines and their terms of use
- Correctness and legality of widgets and content created by the Customer
(3) The Customer will notify the Provider immediately if suspicious or unauthorized use of their account is detected.
7. Contract Term and Termination
(1) STARTER Plan (Free)
- The account can be terminated at any time without notice
- Termination is possible by deleting the account
(2) PRO and ENTERPRISE Plans
- Minimum term: 1 month
- Notice period: 30 days to the end of the respective billing period
- For monthly billing: 30 days to the end of the next subscription month (measured from contract start)
- For annual billing: 30 days to the end of the next subscription year (measured from contract start)
- The billing cycle (monthly or annual) is selected by the Customer at contract conclusion
- Refunds will not be made if the Customer terminates before the end of the billing period
(3) The Provider may terminate the subscription with 30 days’ notice to the end of the billing period if:
- The Customer violates these T&C
- Payments are not made
- The account is misused
(4) After Termination
- Access to the account is terminated
- Created widgets will be deleted after 30 days unless otherwise agreed
- The Customer may export widgets and configurations before final deletion
8. Prices and Payment Terms
(1) Current prices are shown on our website and are in EUR (Euro). All prices are exclusive of applicable value added tax.
(2) Payment Processing
- Payments are made by invoice
- PRO and ENTERPRISE plans are automatically billed
- Payments are due upon contract conclusion and then monthly/annually on the billing date
- The Customer receives an invoice for each billing
(3) Arrears and Late Payment Fees
- Payments are due on the specified due date
- In case of delay, the subscription is suspended until payment is received
- The Provider may charge default interest in accordance with statutory provisions
(4) The Provider reserves the right to change prices with 30 days’ notice.
9. Changes to the Service
(1) The Provider reserves the right to technically overhaul Widget Builder, add or remove features, and update or further develop the Service.
(2) Substantial deterioration of the Service will be communicated to the Customer at least 30 days before taking effect. The Customer can then cancel the subscription without consequences.
(3) The Provider will make reasonable efforts to maintain the availability and functionality of the Service. Faulty or outdated features may be disabled without prior notice.
10. Availability and Maintenance
(1) The Provider aims for 99 percent availability (measured on a monthly basis, excluding scheduled maintenance).
(2) The Service is subject to regular maintenance work. This will be performed outside business hours when possible and with reasonable advance notice.
(3) There is no guarantee of uninterrupted availability. The Provider is not liable for data loss or delays resulting from technical problems, maintenance or outages.
(4) In case of prolonged outages (over 24 hours), the Customer may request a credit for the affected period.
11. Data Protection and Data Security
(1) The processing of personal data takes place in accordance with our Privacy Policy (available at https://www.widgetbuilder.de/en/privacy/) .
(2) The Customer accepts that the Provider processes, stores and analyzes data necessary for providing the Service (e.g. usage data, error reports, performance metrics).
(3) The Provider applies appropriate technical and organizational security measures to protect data from theft, loss or unauthorized access.
(4) The Customer is responsible for the lawfulness of the data and content created and processed in the Service.
12. Confidentiality
(1) Both parties commit to protecting confidential information (including trade secrets, technical data, usage data) and not sharing it with third parties without consent.
(2) Exceptions exist for:
- Disclosure to authorities if legally required
- Necessary sharing with hosting providers or security partners
- Publicly available information
13. Intellectual Property
(1) All rights to Widget Builder, including source code, design, logos, trademarks and documentation belong to the Provider or its licensors. These rights are protected by copyright.
(2) The Customer acquires no ownership rights to Widget Builder through these T&C.
(3) The Customer retains all rights to content, data and widgets created by themselves (Customer Data). However, the Customer grants the Provider the right to store, back up and use this content for operating the Service.
(4) The Customer agrees that the Provider may use error reports, suggestions and feedback to improve Widget Builder.
14. Warranty and Disclaimer
(1) The Service is provided “as is”. The Provider gives no warranty for specific features, error-free operation or that the Service meets Customer expectations.
(2) The Provider provides warranty for defects of essential functionality to the extent permitted by applicable law.
(3) The Customer uses the Service at their own risk. The Provider is not liable for:
- Unexpected errors or bugs
- Incompatibility with specific Staffbase versions or configurations
- Data loss or data corruption
- Outages due to external factors
15. Limitation of Liability
(1) The Provider is liable without limitation for personal injury (including death).
(2) For all other damages, the Provider is liable only for direct damages resulting directly from a breach of obligation.
(3) Liability Cap: The Provider’s total liability is limited to the sum of fees paid by the Customer in the last 12 months. Should the Customer use the service free of charge (STARTER), the liability cap is EUR 0.
(4) The Provider is not liable for:
- Consequential damages, lost profits or data loss
- Outage damages or lost revenue
- Damages due to misuse or improper use
- Damages from external factors (hacking, natural disasters, force majeure)
16. Changes to These Terms
(1) The Provider reserves the right to change these T&C at any time to meet legal or business requirements.
(2) Changes will be communicated to the Customer at least 30 days before taking effect.
(3) By continuing to use the Service after the effective date, the Customer accepts the new T&C. Should the Customer not agree with the changes, they may cancel their subscription at any time.
17. Final Provisions
(1) Applicable Law: These T&C are governed by the laws of the Federal Republic of Germany.
(2) Jurisdiction: Should disputes arise, the lawsuit will take place before the competent court in Dippoldiswalde or Dresden.
(3) Severability: Should any provision of these T&C be invalid, the remainder of these T&C shall remain valid. The Provider will replace an invalid provision with a valid one that comes as close as possible to the economic purpose.
(4) Entire Agreement: These T&C constitute the entire agreement between the parties regarding Widget Builder and supersede all previous agreements or understandings.
